Globerint Pte. Ltd., a company registered in the Republic of Singapore (the Operator), offers any individual or legal entity with full legal capacity to enter into this agreement on the use of the NativAd marketplace on the terms below. These terms are published permanently at https://nativad.com/en/tg/offer.
1.1. Marketplace — the NativAd software service: the Telegram bot @NativAdBot, the bot that works in chats, and the dashboard at https://nativad.com/app/.
1.2. Advertiser — a person who places their announcements (Ads) through the Marketplace: text, a link and images.
1.3. Owner — a person who has connected their Telegram channel or group (the Channel) to the Marketplace by making the Marketplace bot an administrator.
1.4. Placement — an Ad shown in an Owner's Channel.
2.1. The Operator provides the Marketplace — a software service that brings Advertisers and Owners together: it accepts Ads, reviews them, finds suitable Channels and publishes Ads in them automatically, on the terms the Owner has set.
2.2. The Operator is neither an advertiser nor a distributor of advertising and does not provide advertising services itself. A Placement in a Channel is made by its Owner, using the Marketplace.
2.3. The Operator acts as the Owners' agent: on their behalf it accepts payment for Placements and for paid access to Channels from Advertisers and passes it to the Owners less its own remuneration (section 5).
2.4. The Owner sets the hourly price, frequency limits and topics for their Channel and is responsible for the Channel, including compliance with the laws that apply to it: on advertising, its labelling, taxes and levies. The Operator is not the Owner's tax agent.
2.5. The Advertiser is responsible for the accuracy of an Ad and for its compliance with the laws that apply to the Advertiser and to the audience the Ad addresses.
3.1. Placements are possible only after the Advertiser has topped up their Marketplace balance (prepayment).
3.2. Every Ad is reviewed before its first showing. Changing the headline, text, link or images sends the Ad back for review.
3.3. Only approved Ads are shown; every Placement is labelled as a partner post.
3.4. The date, time, frequency and length of Placements are set by the Marketplace algorithm and depend, among other things, on the conversation in the Channel, the Placement price and the Owner's terms.
3.5. The Advertiser sets how much they are prepared to pay per hour of showing. An Ad is shown in a Channel if that amount is not below the Owner's price. The balance is charged the Owner's price for the actual time shown, to the second. If a Placement is removed from the Channel early, the time shown counts up to the last check at which it was still in the Channel; the Marketplace makes this check every few minutes.
4.1. All settlements are made in USD.
4.2. By card — through the payment processor Stripe, or by other methods the Marketplace offers at the time of payment. The terms of a method — details, timing and how it is credited — are shown before payment; a payment sent in breach of those terms is credited or returned on request to support@globerint.com.
4.3. The Operator does not receive or store card details.
5.1. On top-ups — a service fee of no more than 5% of the amount; currently 5%, the same for every payment method.
5.2. On an Owner's earnings from Placements — a marketplace commission of 10%.
5.3. On payments for paid access to a private Channel — a marketplace commission of 10%.
5.4. On payouts of earnings — a service fee of no more than 5% of the amount paid out; currently 5%, the same for every payout method.
5.5. Current rates are shown in the dashboard, under «Documents and details», and before every operation. Fees that payment processors and networks charge the Operator are covered by its remuneration and are not deducted on top.
6.1. The Owner withdraws earnings on request in one of these ways:
6.2. The fee under 5.4 is deducted from the amount withdrawn; the rest is transferred. Payouts made by hand are made within three business days of the request; a new Owner's first payouts are checked by hand.
6.3. Instead of a payout, the Owner may at any time move earnings to their own balance for their own Ads — without a minimum and without fees.
6.4. The Owner is responsible for the accuracy of their details. A transfer sent to details the Owner gave incorrectly is not refunded by the Operator.
7.1. A person who invites a new participant receives a share of the Operator's remuneration from that participant's operations for 12 months; the terms and the current rate are shown in the dashboard on the «Invite and earn» screen. The share is paid out of the Operator's remuneration and added to earnings available for payout.
7.2. After a first top-up of $20 or more, an invited Advertiser receives a bonus of $5 on their ad balance. The bonus can only be spent on showings; it cannot be withdrawn or refunded.
8.1. A Placement is made at the moment an approved Ad is published in a Channel.
8.2. The parties do not sign acceptance certificates; the history of charges and Placements in the dashboard confirms the services.
9.1. An Advertiser or Owner may terminate the agreement at any time by notice to support@globerint.com.
9.2. The Operator may terminate the agreement with an Advertiser or Owner by notice in Telegram or by email.
9.3. An Advertiser's unspent balance is returned by the same method it came in, less the fee under 5.4, within 14 calendar days of the notice; bonuses (7.2) are not returned. An Owner's earnings are withdrawn under section 6.
10.1. The Operator is not liable for the accuracy of Ads or for damage an Owner or Advertiser may suffer from a Placement or its end.
10.2. The Operator is not liable for delays or refusals of payment processors and banks, or for payments sent in breach of the terms of a payment method.
10.3. The Operator may reject or remove an Ad and disable a Channel that breaches the Marketplace terms or applicable law.
